1 Binding Agreement & Overview

This document constitutes a legally binding agreement between you (the "Distributor", "Franchise Partner", or "Client") and UROCHEM BIOTECH, having its operational headquarters at Plot No. 229, 2nd Floor, Industrial Area, Phase-1, Panchkula, Haryana-134113.

By accessing our website (urochembiotech.in), browsing the PharmaFlow portal, registering an account, or placing wholesale purchase orders, you confirm your unreserved acceptance of these Terms & Conditions. If you do not agree with any part of these terms, you must refrain from ordering or utilizing our services.

2 Statutory Eligibility & Drug Licensing

In strict accordance with the Drugs and Cosmetics Act, 1940 and rules established by the Central Drugs Standard Control Organization (CDSCO):

• Wholesale pharmaceutical orders will only be executed for parties holding an active, legally validated Drug License (Form 20B/21B or state-recognized retail/wholesale certificate).
• A valid, verified Goods and Services Tax (GST) number is mandatory for invoicing and intra/inter-state consignment movements.
• The franchise applicant must submit self-attested copies of their Drug License, GST Registration Certificate, and PAN card before dispatch of the initial consignment.

3 PCD Pharma Franchise & Monopoly Rights

Urochem Biotech grants exclusive district or territory-wise PCD (Propaganda Cum Distribution) monopoly rights under the following mutual covenants:

• Territorial Exclusivity: Once granted, Urochem Biotech will not supply the same brand portfolio to any other entity within the assigned district/territory, provided the franchisee maintains the mutually agreed monthly sales targets.
• Cross-Territory Infiltration: Franchisees are strictly prohibited from marketing or selling Urochem products outside their designated territorial borders. Infiltration into another associate's territory will result in immediate cancellation of the franchise agreement.
• Performance Review: Monopoly rights are subject to regular quarterly volume performance evaluations. Failure to achieve the agreed threshold may lead to revocation or subdivision of the allocated territory.

4 Order Booking & Minimum Order Quantities (MOQ)

Orders may be submitted via our PharmaFlow online portal, official email (info@urochembiotech.in), or directly through our sales desk.

• All purchase orders are subject to stock availability and written confirmation/proforma invoice from Urochem Biotech.
• Minimum Order Quantity (MOQ) norms apply to specific product categories (e.g., standard box pack sizes for tablets/capsules, master cartoon units for syrups and injectables). Orders below MOQ will be rounded up to the nearest packaging unit.

5 Pricing, GST & Payment Terms

All commercial dealings are governed by the following financial stipulations:

• Price Basis: Prices quoted in the price list or proforma invoice are Net Rates Ex-Godown Panchkula. Freight, insurance, and local handling charges are extra unless expressly agreed otherwise in writing.
• Taxes: GST (Goods and Services Tax) is applicable on all pharmaceutical formulations at the prevailing statutory rates (typically 12% or 5% depending on drug classification) and will be added to the invoice value.
• Payment Method: 100% advance payment via RTGS, NEFT, IMPS, or approved banking channels is required prior to order dispatch. Urochem Biotech does not offer unauthorized credit periods to new accounts.
• Price Revision: Due to raw material (API) price fluctuations and government DPCO drug price revisions, rates are subject to change without prior notice. Confirmed orders with cleared advance payments remain protected against price changes.

6 Quality Compliance & Storage Conditions

Every formulation marketed by Urochem Biotech is manufactured in WHO-GMP certified production units adhering to Schedule M norms.

7 Logistics, Dispatch & Transit Terms

Consignments are carefully packed in multi-layered corrugated master cartons and dispatched via reputable transport operators or express couriers.

• Goods travel at the risk of the purchaser once handed over to the transport agency and after generation of the Bilty / Consignment Note (L/R).
• Transit insurance is highly recommended and can be arranged upon written request at the distributor's cost.
• The distributor must check outer carton condition and tamper-evident seals immediately upon receipt from the transporter.

8 Intellectual Property & Brand Protection

All brand names, trademarks, visual design elements, product packaging artwork, catchcovers, visual aids, MR bags, and digital catalog assets are the exclusive intellectual property of UROCHEM BIOTECH.

Distributors are granted a revocable, non-transferable license to use promotional material strictly for marketing Urochem formulations within their authorized territory. Any unauthorized counterfeiting, duplicate packaging, or imitation of brand names will attract immediate criminal and civil legal action under the Trade Marks Act, 1999.

9 Medical & Prescription Disclaimer

The information presented on urochembiotech.in, including dosage indications, drug compositions, and therapeutic profiles, is intended solely for educational, informational, and B2B trade purposes for registered medical practitioners and licensed pharmacists.

It does not constitute self-medication advice or clinical diagnosis. All Schedule H, H1, and G prescription formulations must be dispensed strictly against the written prescription of a Registered Medical Practitioner (RMP).

10 Governing Law & Dispute Jurisdiction

These terms and all commercial transactions entered into with Urochem Biotech shall be governed by, construed, and enforced in accordance with the substantive laws of India.
